In using this website and our services you are deemed to have read and agreed to the following terms and conditions:

1. ACCEPTANCE OF TERMS

The Film Office Ltd ("Film Office") provides the FilmHub Services (defined below) to you subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current version of the TOS at any time at: www.filmhub.co.uk/pages/tos. By accessing and using the FilmHub Services, you accept and agree to be bound by the terms and provision of the TOS. In addition, when using particular FilmHub owned or operated services, you and FilmHub shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.

The following terminology applies to these Terms of Service: "Client", "You" and "Your" refers to you, the person accessing www.filmhub.co.uk and accepting The Film Office Ltd’s (“the Company’s”) terms and conditions. "The Company", "Ourselves", "We" and Us", refers to The Film Office Ltd. "Party", "Parties", or "Us", refers to both the Client and ourselves, or either the Client or ourselves..

PRIVACY STATEMENT

All information you provide to us is stored on our secure servers. Any payment transactions will be encrypted. Where we have given you (or where you have chosen) a password which enables you to access certain parts of our site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.

CONFIDENTIALITY

We are registered under the Data Protection Act 1998. Client records are regarded as confidential and therefore will not be divulged to any third party, other than our website and software developers and if legally required to do so to the appropriate authorities. Clients have the right to request sight of, and copies of any and all Client records we keep, on the proviso that we are given reasonable notice of such a request. Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue Clients with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.

We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by The Film Office Ltd will only be in connection with the provision of agreed services and products.

MEMBER ACCOUNT, PASSWORD AND SECURITY

You are responsible for maintaining the confidentiality of your filmhub.co.uk password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify The Film Office Ltd of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. The Film Office Ltd cannot and will not be liable for any loss or damage arising from your failure to comply with this.

MEMBER CONDUCT

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not The Film Office Ltd, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available the Services. Under no circumstances will The Film Office Ltd be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via Filmhub.co.uk.

You agree to not use the Services to:

a. upload, post, email, transmit, or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

b. harm minors in any way;

c. impersonate any person or entity, including, but not limited to, a The Film Office Ltd member of staff, or falsely state or otherwise misrepresent your affiliation with a person or entity;

d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Services;

e. upload, post, email, transmit, or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

f. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;

g. upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

h. upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

i. interfere with or disrupt the FilmHub Services or servers or networks connected to the FilmHub Services, or disobey any requirements, procedures, policies or regulations of networks connected to the FilmHub Services, including using any device, software or routine to bypass our robot exclusion headers;

j. intentionally or unintentionally violate any applicable local, state, national or international law;

k. "stalk" or otherwise harass another; and/or

l. collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a to l above.

You acknowledge that The Film Office Ltd may or may not pre-screen Content, but that The Film Office Ltd and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or remove any Content that is available via the Services. Without limiting the foregoing, Film Office Ltd and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by Film Office Ltd or submitted to Film Office Ltd

You acknowledge, consent and agree that Film Office Ltd may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the TOS; (iii) respond to claims that any Content violates the rights of third parties; (iv) respond to your requests for customer service; or (v) protect the rights, property or personal safety of Film Office Ltd, its users and the public.

You understand that the Services and software embodied within Services may include security components that permit digital materials to be protected, and that use of these materials is subject to usage rules set by Film Office Ltd. You may not attempt to override or circumvent any of the usage rules embedded into the Services. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Services, in whole or in part, is strictly prohibited.

DISCLAIMER

EXCLUSIONS AND LIMITATIONS

The information on this web site is provided on an "as is" basis. To the fullest extent permitted by law, Film Office Ltd:

  • excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature; and
  • excludes all liability for damages arising out of or in connection with your use of this website. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or you have advised this Company of the possibility of such potential loss), damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.

The Film Office Ltd does not however exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights are affected.

PAYMENT

Cash or Personal Cheque with Bankers Card, all major Credit/Debit Cards, Bankers Draft or BACS Transfer are all acceptable methods of payment. Our Terms are payment in full within thirty days. Monies that remain outstanding by the due date will incur late payment interest at the rate of 2% above the prevailing Bank of England's base rate on the outstanding balance until such time as the balance is paid in full and final settlement. We reserve the right to seek recovery of any monies remaining unpaid thirty days from the date of invoice via collection Agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed £3000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.

Returned cheques will incur a £25 charge to cover banking fees and administrative costs. In an instance of a second Returned cheque, we reserve the right to terminate the arrangement and, if agreed to, we shall insist on future cash transactions only. Consequently, all bookings and/or transactions and agreements entered into will cease with immediate effect until such time as any and all outstanding monies are recovered in full.

TERMINATION OF AGREEMENTS AND REFUNDS POLICY

Both the Client and ourselves have the right to terminate the provision of any Services for any reason, including the ending of Services that are already underway. No refunds shall be offered, where a Service is deemed to have begun and is, for all intents and purposes, underway. Any monies that have been paid to us which constitute payment in respect of the provision of unused Services, shall be refunded.

INDEMNITY

You agree to indemnify and hold Film Office Ltd and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Services, your use of the Services, your connection to the Services, your violation of the TOS, or your violation of any rights of another.

COOKIES

Like most interactive web sites Film Office Ltd’s website uses cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate partners may also use cookies. FORCE MAJEURE

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or man made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.

WAIVER

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

GENERAL

The laws of England and Wales govern these terms and conditions. By accessing this website and using our Services you consent to these terms and conditions and to the exclusive jurisdiction of the English courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of the Company.

TERMINATION

You may terminate your FilmHub.co.uk account, any associated email address and access to the Services by submitting such termination request to Film Office Ltd.

You agree that Film Office Ltd may, without prior notice, immediately terminate, limit your access to or suspend your FilmHub.co.uk account, any associated email address, and access to the Services. Cause for such termination, limitation of access or suspension shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification to the Services (or any part thereof), (d) unexpected technical or security issues or problems, (e) extended periods of inactivity, (f) engagement by you in fraudulent or illegal activities, and/or (g) non-payment of any fees owed by you in connection with the Services. Further, you agree that all terminations, limitations of access and suspensions for cause shall be made in Film Office Ltd's sole discretion and that Film Office Ltd shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Services.

Termination of your Film Office Ltd account includes any or all of the following: (a) removal of access to all or part of the offerings within the Services, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of all or part of the Services.

These terms and conditions form part of the Agreement between the Client and ourselves. Your accessing of this website, the use of our Services and/or undertaking of a booking indicates your understanding, agreement to and acceptance, of the Disclaimer and the full Terms and Conditions contained herein. Your statutory rights are unaffected.
